Seller Agreement
This agreement applies to every vendor selling on ArcardeMall, alongside the Terms of Service. Opening a store means accepting it.
1. Your relationship with us
You sell on your own account. You are an independent trader, not our employee, agent or partner, and you are responsible for your own tax, licences and compliance. We provide the marketplace, take payment on your behalf and settle it to you.
2. Getting verified
Before reaching an escrow tier you must complete KYC: proof of identity, proof that the business exists, and a payout account in the name of the verified person or business. We may ask for a trading licence where the category requires one.
Unverified stores may still sell on the Direct tier, but buyers see clearly that the order is not covered by a financial guarantee, and they buy far less. Verification is worth doing.
3. Your listings
- Describe accurately: condition, quantity, weight, origin, and any defects.
- Use your own photographs of the actual goods.
- Price in UGX, inclusive of any tax you are required to charge.
- Keep stock levels current — repeated cancellations for “out of stock” damage your rating and can suspend the store.
- Never list anything prohibited under our terms.
4. Fulfilling orders
- Accept or decline within 24 hours of an order being placed.
- Have it ready for the rider within the dispatch time shown on your store.
- Pack so it survives a boda-boda journey on rural roads.
- Never ask a buyer to pay you outside ArcardeMall. This voids their protection and is grounds for immediate removal.
5. Commission and fees
We take a commission on each completed sale, set in basis points by your tier and shown in your dashboard before you list. There is no listing fee. Subscription plans, where you choose one, are billed separately and add capacity and placement, not a different commission.
Payment-provider charges on refunds and chargebacks are passed through to you where the refund arises from your act or omission.
6. Getting paid
For escrow-tier orders, funds are released when delivery is confirmed — for boda-boda deliveries, when the buyer gives the rider the handover code. Released funds appear in your ledger and are paid out to your registered mobile money or bank account on the payout schedule shown in your dashboard.
We may hold a payout where a dispute is open, where fraud is suspected, or where the law requires it. We tell you why.
7. Returns and disputes
You must honour Returns & refunds. Respond to a buyer claim within 48 hours. Where a dispute goes to arbitration, we decide on the evidence and the decision governs the escrowed funds.
8. Ratings and reviews
Reviews belong to the buyers who wrote them. You may reply, but you may not buy, trade, incentivise or threaten your way to a rating. Manipulating reviews results in removal from the platform.
9. Data you receive
Buyer contact and address data is given to you strictly to fulfil the order. You may not use it for marketing, sell it, or keep it after your legal retention obligations end. You are a data controller for what you do with it, under the Data Protection and Privacy Act 2019.
10. Suspension and closing your store
We may suspend a store for breach of this agreement, sustained poor fulfilment, or suspected fraud, holding settlement of affected orders until the matter is resolved. You may close your store at any time; you must first fulfil or refund every open order.
11. Changes
Changes to commission rates or payout terms are announced at least 30 days before they take effect. Other changes follow the notice period in the Terms of Service. Questions: info@omeganodes.ai.
